1. Services Overview

OffScene Media Group provides growth operations services including, but not limited to, advertising and marketing, PR strategy and advisory, growth systems development, content production, custom AI assistant development and deployment, and strategic consulting. The specific scope of services will be outlined in individual service agreements.

Certain services, including AI assistant solutions, may be provided through third-party platforms that we integrate with or operate on your behalf. In such cases, you may be required to accept additional terms of service from those platforms.

2. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to communications in a timely manner
• Grant necessary access and permissions required for service execution
• Ensure all materials provided are owned by you or properly licensed
• Comply with all applicable laws and regulations

3. Confidentiality

OffScene Media Group maintains strict confidentiality regarding all client information, strategies, and business operations. We do not disclose client relationships, methodologies, tools, or internal processes without explicit written consent. All confidential information shared during our engagement will be protected and used solely for the purpose of delivering agreed-upon services.

4. Intellectual Property

Unless otherwise specified in a service agreement:

• Work product created specifically for clients becomes client property upon full payment
• OffScene Media Group retains ownership of proprietary methodologies, frameworks, and processes
• Pre-existing materials and general knowledge remain the property of their respective owners

5. Payment Terms

Payment terms, including fees, schedules, and methods, will be outlined in individual service agreements. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may result in service suspension and may incur additional fees as specified in the service agreement.

For certain services, including AI assistant solutions, payments may be processed through secure third-party payment platforms. When using these services, you agree to the payment terms and conditions of those platforms. OffScene Media Group is not responsible for payment processing issues, refunds, or disputes handled by third-party payment processors. Usage-based fees may apply to certain services and will be clearly disclosed prior to service activation.

6. Limitation of Liability

OffScene Media Group provides services on an "as is" basis. While we strive to deliver exceptional results, we do not guarantee specific outcomes. Our liability is limited to the fees paid for the specific services in question. We are not liable for indirect, incidental, consequential, or punitive damages.

7. Termination

Either party may terminate the service relationship as outlined in the specific service agreement. Upon termination, clients remain responsible for payment of services rendered. Confidentiality obligations survive termination of any agreement.

8. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services following any changes constitutes acceptance of the modified Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through binding arbitration, unless otherwise agreed upon in writing.
